Terms of Service
Book a free call, see a free draft, and only pay when you're happy to go ahead. Prices are in Canadian dollars plus HST. Once you've paid in full, the finished work is yours. We work hard to grow your business, but nobody can guarantee results on Google or social media.
1. About these terms
These Terms of Service ("Terms") apply to your use of newlifemedia.ca (the "Site") and to any services you buy from New Life Media, a sole proprietorship based in Ontario, Canada ("New Life Media", "we", "us"). By using the Site or hiring us, you agree to these Terms. If you sign a separate written quote, proposal, or agreement with us (a "Quote"), the Quote applies together with these Terms, and if they conflict, the Quote wins.
Our services are offered to businesses. If you are a consumer under Ontario's Consumer Protection Act, 2002, nothing in these Terms takes away rights you have under that law.
2. Using the Site
You may use the Site to learn about our services and book a call. Please don't misuse it: no attempting to break, overload, or gain unauthorised access to the Site or our booking system, no submitting false or spam bookings, and no copying our content, design, or images for commercial use without permission.
We try to keep the Site accurate and available, but it is provided "as is". We may change or remove content, pricing, or services at any time.
3. Booking a strategy call
The free 15-minute strategy call has no cost and no obligation. A requested time is confirmed by email. If you can't make it, please let us know so we can offer the time to someone else. We may reschedule if something comes up and will give you as much notice as we can.
4. Quotes, drafts, and starting work
- Free draft. Where offered, we build a free draft before you commit. You're under no obligation to buy it. Until you pay, the draft and everything in it remain ours and you may not use them.
- Scope. What's included in each service is described on the Site and in your Quote. Anything outside that scope, such as extra pages, extra revision rounds, or new features, is quoted separately before we do it.
- Your part. You agree to send us the content, feedback, approvals, and access we need on time. Delays on your side may push back delivery dates.
5. Prices and payment
- All prices are in Canadian dollars (CAD), and 13% HST is added.
- Any deposit will be set out in your Quote. Project balances are due on approval and before your site or content goes live.
- Monthly services (such as the Monthly Social Media Plan and Hosting & Care) are billed in advance each month.
- Invoices are due within 14 days unless your Quote says otherwise. If a payment is more than 14 days late, we may pause work or monthly services until it's paid.
- Influencer creator fees, paid advertising budgets, domain registration, and third-party software are not included in our prices unless your Quote says so. We'll agree them with you upfront.
6. Monthly plans and cancellation
- The Monthly Social Media Plan and Full Service package have a 3-month minimum term. After that, they continue month to month.
- After the minimum term, you can cancel any monthly service with 30 days' written notice by email.
- If you cancel during the minimum term, the remaining months of the minimum term are still payable.
- Hosting & Care can be cancelled with 30 days' written notice. When it ends, we'll help move your site to your own account; the Self-Hosting Handover service is available for a one-time fee.
7. Refunds
Because you see a draft before you commit, payments for work that has been delivered and approved are not refundable. If we can't deliver something we've agreed to, we'll refund the part you've paid for that we haven't delivered. Monthly fees already paid for a month that has started are not refundable.
8. Who owns the work
- Your materials. You keep ownership of everything you give us (logos, photos, text, and so on). You confirm you have the right to use it and you allow us to use it to do the work.
- Finished work. Once you've paid in full, you own the final website, photos, videos, and posts we created for you, and you may use them however you like. Your domain and accounts are registered in your name.
- Our tools. We keep ownership of our general know-how, templates, code snippets, and processes, and give you a permanent licence to use any that are built into your finished work.
- Third-party items. Stock images, fonts, music, and software are covered by their own licences, which we'll pass on to you.
- Portfolio. We may show the finished work and your business name in our portfolio and marketing. If you'd prefer we didn't, just tell us in writing.
9. Photo and video shoots
You're responsible for permission to film at your location and for getting consent from staff and customers who will clearly appear in content. If a shoot is cancelled with less than 48 hours' notice, we may charge a rebooking fee set out in your Quote.
10. Influencer marketing
Creators are independent and not employees of New Life Media. We match, brief, and coordinate creators, but we can't control exactly what they say or guarantee how their content performs. Sponsored content will be clearly disclosed as required by the Competition Act and Ad Standards' Influencer Marketing Disclosure Guidelines.
11. Third-party platforms
We work with platforms we don't control, including Google, Meta (Facebook and Instagram), TikTok, YouTube, Cloudflare, and domain registrars. Their rules, algorithms, outages, and decisions (such as suspending an account or changing how posts are shown) are outside our control, and we aren't responsible for them. You agree to follow each platform's rules for your accounts.
12. No guaranteed results
We will do our work with care and skill, but we cannot guarantee specific results, such as search rankings, followers, views, website traffic, leads, or sales. Results shown on the Site are real examples from past work and our own brands, but every business is different and past results don't promise future ones.
13. Hosting and care
When we host or care for your site, we'll keep it updated, check uptime, and keep backups. We rely on Cloudflare and other providers, so we can't promise the site will never be down, and we aren't responsible for losses caused by outages outside our control.
14. Limitation of liability
To the extent the law allows, New Life Media is not liable for indirect or consequential losses, such as lost profits, lost revenue, or lost data. Our total liability for any claim relating to a service is limited to the amount you paid us for that service in the 3 months before the claim. Nothing in these Terms limits liability that can't be limited by law.
15. Your responsibility
You agree to cover our reasonable costs if a third party makes a claim against us because of materials you provided (for example, an image you didn't have the right to use) or because you breached these Terms.
16. Ending our work together
Either of us may end a project if the other seriously breaches these Terms and doesn't fix it within 14 days of written notice. If a project ends early, you pay for the work done up to that point, and we hand over any finished work you've paid for.
17. Confidentiality
We'll keep your private business information and account access confidential and use it only to do your work. We handle personal information as described in our Privacy Policy.
18. Governing law
These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there. We'll always try to sort out any problem by talking first. If we can't, disputes will be handled by the courts of Ontario, including Small Claims Court where it applies.
19. Changes to these terms
We may update these Terms from time to time. The version on the Site when you sign a Quote applies to that project. Changes to monthly services will be emailed to you at least 30 days before they take effect.
